Terms of Service

Welcome to Aiyarise Intelligence Inc. ("Aiyarise," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, www.aiyarise.com (the "Website"), and the services we provide, including AI Education, AI Assessments, and AI Custom Projects (collectively, the "Services").
By accessing our Website or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Website or Services.
1. Description of Services
Aiyarise provides specialized artificial intelligence services categorized as follows:
AI Education: We offer live educational events, including webinars and in-person seminars, designed to enhance understanding and application of AI. These events may be free or require paid registration.
AI Assessments: We provide AI readiness assessments, audits, and other analytical services to evaluate an organization's AI capabilities and opportunities. These services may require access to a client dashboard.
AI Custom Projects: We undertake bespoke AI projects to develop and implement custom solutions for clients. These engagements are governed by a separate Master Services Agreement ("MSA") and one or more Statements of Work ("SOW").
2. User Accounts for AI Assessments
To access certain Services, such as the client dashboard for AI Assessments, you may need to create an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain the security of your password and login credentials. You are responsible for all activities that occur under your account.
Notify us immediately at hello@aiyarise.com of any unauthorized use of your account.
Not share your account credentials with any third party.
3. Payments, Refunds, and Cancellations
A. AI Education Events
Registration and Payment: Registration for paid events is confirmed upon receipt of full payment through our designated booking portal. We accept payment via credit card and Stripe.
Refund Policy: You may receive a full refund for a paid event registration if you cancel in writing to hello@aiyarise.com at least seven (7) days prior to the scheduled event date. No refunds will be issued for cancellations made within seven (7) days of the event.
B. AI Assessments
Payment: Fees for AI Assessments are due in full and in advance of service commencement. Payment must be made via Stripe unless an alternative method is agreed upon in writing.
Refunds: You may receive a full refund for an AI Assessment if you cancel in writing to hello@aiyarise.com at least seven (7) days prior to the scheduled session date. No refunds will be issued for cancellations made within seven (7) days of the session date.
C. General
Currency: All fees are stated and must be paid in Canadian Dollars (CAD).
Taxes: For Canadian clients, sales taxes (GST or HST) will be calculated on your payment depending on the province where you reside. US customers will not be taxed.
4. User Conduct and Responsibilities
By using our Website and Services, you agree not to:
Use the Services for any illegal or unauthorized purpose or in violation of any applicable laws.
Modify, reverse-engineer, decompile, or otherwise attempt to discover the source code of any aspect of our Services.
Use any automated means, such as scripts, bots, or scrapers, to access our Website or extract data.
Resell, reproduce, or distribute any Services, content, or materials provided by Aiyarise without our express written permission.
Introduce any viruses, malware, or other harmful code to the Website.
Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
Interfere with the proper functioning of the Website or Services.
5. Intellectual Property Rights
A. Our Content and Property
All content on the Website, including text, graphics, logos, and software, is the exclusive property of Aiyarise Intelligence Inc. or its licensors and is protected by copyright and other intellectual property laws. Aiyarise retains full ownership of all its pre-existing intellectual property, methodologies, tools, and processes used to deliver the Services.
B. Deliverables from AI Assessments
Unless otherwise agreed in writing, Aiyarise owns all reports, findings, and other materials ("Deliverables") created during an AI Assessment. We grant you a perpetual, non-exclusive, non-transferable, royalty-free license to use the Deliverables solely for your internal business purposes. Aiyarise reserves the right to use the concepts, frameworks, and anonymized outcomes from any AI Assessment for our own marketing, case studies, and service improvement, provided that we will not disclose any of your Confidential Information.
C. Materials from AI Education Events
We may provide you with handouts, session replays, or other materials for personal reference. You are permitted to download and share these specific materials.
D. Client-Provided Content
For us to perform the Services, you may provide us with access to your data, information, and materials ("Client Content"). You grant Aiyarise a non-exclusive, royalty-free, temporary license to use, reproduce, and modify your Client Content solely for the purpose of providing the Services to you. You warrant that you have the necessary rights to grant us this license.
6. Confidentiality
For AI Assessments, we will have access to your Confidential Information. We agree to use this information solely for the purpose of performing the Assessment and will not disclose it to any third party, except as required by law. We will take reasonable measures to protect your Confidential Information, consistent with the standards we use to protect our own. Our obligations regarding data protection and privacy are further detailed in our Privacy Policy.
7. Disclaimer of Warranties
THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEIR OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. ANY RECOMMENDATIONS OR FINDINGS FROM AN AI ASSESSMENT ARE BASED ON THE INFORMATION YOU PROVIDE, AND WE ARE NOT LIABLE FOR ANY BUSINESS OUTCOMES RESULTING FROM YOUR IMPLEMENTATION OF SUCH RECOMMENDATIONS.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AIYARISE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO AIYARISE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
9. Term and Termination
These Terms are effective until terminated. We may suspend or terminate your access to the Website or Services at any time, for any reason, including for a breach of these Terms. You may stop using our Services at any time. Provisions that by their nature should survive termination shall survive, including, without limitation, intellectual property provisions, disclaimers, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. The parties agree to first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in Victoria, British Columbia.
11. General Provisions
Updates to Terms: We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Effective Date" at the top of this page and may post a notice on our Website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Aiyarise regarding the use of the Website and Services (excluding AI Custom Projects, which are governed by an MSA/SOW).
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Privacy Policy: Your use of the Services is also subject to our Privacy Policy, which details how we collect, use, and protect your personal information.
